Ms. Vicky Ng brings over 20 years of legal experience to her role as a key partner at Messrs. Woon Wee Yuen & Partners, where she has been instrumental since 2003. After joining Mr. Woon shortly after the firm’s founding in Johor, she played a pivotal role in expanding its presence to the Klang Valley. Her expertise spans corporate, commercial, conveyancing, and maritime law, serving both local and international clients, particularly from the Chinese business community.
Ms. Ng graduated from the University of Leicester in 1996 and was called to the English Bar (Middle Temple) in 1997, bringing international credentials that resonate with clients seeking cross-border legal expertise. She was admitted to the Malaysian Bar as an Advocate and Solicitor of the High Court of Malaya on 5 September 1998. Following her admission, Ms. Ng was awarded a prestigious British Council scholarship to pursue further studies at the University of Cardiff, where she completed her Master's degree in Commercial Law, further strengthening her expertise in corporate and commercial matters.
Ms. Ng began her legal career at Messrs. Khaw & Partners and later joined Joseph Tan Jude Benny, a leading maritime law firm in Singapore, where she helped establish their Malaysian associate firm, Joseph & Partners. Her background in maritime law connects her to specialised consultants, enabling the firm to offer valuable services such as maritime transport advisory, insurance claims, cargo loss recovery, and dispute resolution.

(A) Industrial Land, Manufacturing Investment and Cross-Border Acquisitions

Advised a leading China-based titanium dioxide and inorganic chemicals manufacturing group on the acquisition of industrial development land measuring approximately 60.10 acres in Gurun, Kedah, within an established industrial park, for the development of a Malaysian manufacturing facility, for a consideration of RM117.8 million.

Assisted the Malaysian subsidiary of a Shenzhen-based medical device manufacturer in acquiring freehold industrial land measuring approximately 53 acres in Bandar Springhill, Port Dickson, Negeri Sembilan, for the establishment of its Malaysian manufacturing base, for a consideration of RM80.8 million. The transaction was reported in The Edge Malaysia.

Represented a Malaysia-incorporated subsidiary of a Suzhou-based aluminium and industrial materials manufacturing group in its acquisition of three detached factories on freehold industrial land in Kapar, Selangor for its Malaysian manufacturing operations, for a consideration of RM65 million, with RM39 million supported by local bank financing.

Represented a Chinese listed industrial group, through its offshore acquisition vehicle, in the acquisition of 80% equity interest in an established Malaysian plastic injection moulding and tooling manufacturer serving the home appliances, telecommunications, electrical and electronic sectors, for a consideration of RM23.04 million. The engagement concerned an operating Malaysian manufacturing business, with ownership transition, factory operations and existing financing arrangements.

Advised a China-linked chemical and new materials group on the acquisition of an industrial plot measuring approximately 870,764 sq. ft. within the Malaysia–China Kuantan Industrial Park 3 (MCKIP 3) for the development of a manufacturing plant for high-end environmentally friendly new materials and fine chemicals, for a consideration of RM16.54 million.

Represented a Malaysian entity in the acquisition of 40 parcels of industrial land from a national asset management agency, covering due diligence, land sale documentation, title and regulatory issues, and completion of the acquisition process.

Acted in a cross-border asset purchase transaction involving high-value production machinery from a global electronics manufacturing services provider, including negotiation of asset sale terms, delivery risk, software licensing issues and transitional support arrangements.
(B) Market Entry, Factory Set-Up and China–Malaysia Business Expansion

Supported Chinese manufacturing clients in their Malaysian business roll-out, including initial factory leasing, industrial land acquisition, foreign purchaser approval, import and regulatory issues, operational set-up and financing-related coordination.

Assisted a Chinese industrial enterprise in acquiring a Malaysian component manufacturing business through share acquisition, involving employment transition, asset integration, ownership restructuring and operational continuity issues.

Provided legal support for the Malaysian establishment of a Chinese international express logistics provider, including warehouse leasing, employment documentation, compliance matters and ongoing legal advisory.

Acted for a Chinese apparel group in negotiating the lease of retail premises in a prominent Kuala Lumpur shopping mall, including review of standardised mall lease terms, operational restrictions, commercial risk allocation and tenant obligations.
(C) Listing and Compliance Advisory

Regional Expansion and SGX Listing of Major Poultry Group: We assisted one of Malaysia’s largest poultry groups in acquiring multiple real estate assets and foreign worker arrangements in Negeri Sembilan and Johor. The legal structuring supported their successful listing on the Singapore Exchange.

Malaysia Legal Due Diligence for Cross-Border IPO (HK Main Board): We conducted due diligence and compliance assessment for the Malaysian subsidiaries of a building materials group undergoing IPO on the Hong Kong Main Board. Our role included reviewing land title issues, contract compliance, and taxation risks.

Ongoing Legal Advisory for Real Estate Investment Companies: We regularly draft and negotiate shareholders' agreements for property investment ventures, focusing on acquisition structures, profit-sharing mechanisms, and exit strategies.
